Contract detailing the Licensing terms for Full Permissions Animations


THIS CONTRACT GRANTS A LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE SOFTWARE LICENSE TO USE AN ANIMATION AND APPLIES TO ALL FULL PERMISSIONS ANIMATIONS PURCHASED FROM THE VENDOR. CONDITIONS RESTRICTING THE USE OF THE PURCHASED ANIMATION APPLY. BY PURCHASING THIS ANIMATION, YOU AGREE TO RESTRICT YOUR USE OF THE ANIMATION PER THE TERMS OF THIS LICENSE. ANY COPYING, TRANSFER, PERFORMANCE, OR USE OF THE ANIMATION IN VIOLATION OF THE LICENSE SHALL VOID THE LICENSE. ANY USE, PERFORMANCE, OR TRANSFER OF THE ANIMATION WITHOUT A LICENSE CONSTITUTES ACTIONABLE COPYRIGHT INFRINGEMENT IN VIOLATION OF 17 U.S.C. SECTION 501, ET SEQ.

Preamble
By purchasing Animation/s from Animazoo, the Client agrees to the terms and conditions of this contract.
Upon purchase of the Animation/s, the Licensor grants the Client a non-exclusive, non-transferable license to use and copy the Animation/s only for the limited purposes set forth below:

Section 1) Use of the Animation/s
1a) The Client is permitted to re-sell the Animation/s in either Copyable or Transferable format as part of their Creations within Second Life.
1b) The Client is NOT permitted to re-sell the Animation/s alone or within a Single Prim.
1c) The use, sale, copying or transferring of the Animation/s outside Second Life is prohibited.
1d) The Client identifies themselves as a content creator in Second Life, and agrees to use the Animation/s solely for the purpose of adding value to their creations.

Section 2) Intellectual Property Rights ownership
2a) You do not have ownership of the Animation/s; you have purchased a licence to use the Animation/s under the terms specified. In taking possession of the Animations/s, you enter into a licensing agreement that explicitly specifies that the Full Permission state is for your hands only, and that you will actively assist in protecting the Intellectual Property Rights of the Vendor in the manner specified in Section (2b) below.
2b) The Client is explicitly NOT allowed to transfer the Animation/s to anyone else in both Copyable AND Transferable form under any circumstance. To ensure this, the Client agrees to take pro-active steps to help ensure that the Animation/s are never transferred to anyone else in Full Permissions form by error. It is therefore required that the Client set the next owner permissions to either Copy or Transfer immediately on receipt of the animations. By purchasing the Animation/s, the Client verifies that they have sufficient knowledge to do this.
2c) By taking possession of the Full Permission Animation/s the Client agrees to abide by the terms of this Agreement. If the Client does not agree or feels that they cannot comply with the terms of this Agreement, the Client must delete all copies the Animations in their possession.

Section 3) Jurisdiction, Law, Venue and Service of Process

3a) Violations of this licence will be reported under the Digital Millennium Copyright Act (DMCA) notice under 17 U.S.C. Section 512 to Linden Lab and / or any other applicable ISP.
3b) Any violation of the terms set out in this contract by the Client automatically make the Client liable for copyright infringement, the imposition of damages, attorneys fees, injunction, and all applicable penalties.

3c) The Client agrees that the venue for all legal claims arising from the Client\’s breach of this agreement and for copyright infringement claims arising from unlawful use of the Animation/s shall be at the sole discretion of the Vendor.

3d) The Client consents to service of process via email at the email addresses utilized as the Client\’s contact email with Linden Labs.

3e) In the event that service cannot be made upon the Client via email or other method, the Client agrees that service upon Linden Labs in the name of any other Second Life avatar used when the Client agreed to this license shall be sufficient to effect service upon the Client.

3f) The Client waives any requirement under the Hague Convention or other judicial treaty requiring that legal process be translated into any language other than English.

Footnotes: Terms used in this Contract

Footnote 1) Second Life: Second Life is a virtual world in which the Vendor conducts the business of selling digital goods including Animations.

Footnote 2) Second Life Animation: Second Life Animations (referred to as Animations in this document) are animation sequences uploaded to the Second Life servers for the displaying of users of Second Life.

Footnote 3) Client: For the purposes of this document, the Client is the purchaser of Full Permissions Animations.

Footnote 4) Second Life Animation Vendor and Licensor: For the purposes of this document, the Second Life Animation Vendor and Licensor (referred to as the \’Vendor\’ in this document) is Dave Bellman (Second Life avatar name), owner of Animazoo Animations, a business operating in Second Life.

Footnote 5) Full Permissions: Full Permissions Animations are Animations supplied with both copy and transfer permissions to the Client by the Vendor within the confines of Second Life. Full permissions, for the purposes of this document, does NOT necessarily include \’modify\’ permissions.

Footnote 6) Copy Permissions / Copyable form: Animation/s that allow the owner to make copies of the Animation/s, but are intended to prohibit the transfer of the Animation/s to any other entity.

Footnote 7) Transfer Permissions / Transferable form: Animation/s that allow the owner to transfer the Animation/s, but are intended to prohibit the owner from copying the Animation/s.

Footnote 8) Single Prim: For the purposes of this agreement, a Single Prim is a Second Life object comprising one prim containing one or more Animation/s. A \’Poseball\’ containing one or more Animation/s is an example of a Single Prim.
